Experience

Robert represents debtors, creditors, creditors' committees, preference defendants, trustees and purchasers of assets in business bankruptcy cases and out-of-court restructurings. He has represented financially distressed companies in numerous industries, including health care, construction, transportation, real estate, manufacturing, retailing, restaurants and professional services. He also has significant experience in real estate cases involving hotels, apartment complexes, shopping centers and office buildings. In addition to his bankruptcy practice, Robert also advises clients concerning the formation and operation of their businesses, guiding them to avoid and resolve disputes. Robert also represents buyers and sellers of businesses and other assets.

  • Representation of more than 50 companies in financial restructurings that successfully avoided bankruptcy.
Debtor's Counsel

  • In re Stanley Jones Corporation – represented mechanical contracting company and affiliates in their Chapter 11 cases in Nashville. At the time of the filing, the company had offices in South Fulton, Nashville, and Knoxville, Tennessee, and Birmingham, Alabama. The company had been in business since 1946, was licensed in 35 states, had more than 400 employees, and had revenues of over $80 million during its last fiscal year.

  • In re American HomePatient, Inc. – represented publicly-traded home healthcare company in its successful Chapter 11 reorganization that resulted in confirmation of a 100% Plan on the company's $300 million of debt.

  • In re Pitt Excavating, LLC – represented excavating contractor and its affiliates in a successful Chapter 11 reorganization that restructured more than $5 million in debt, preserved over 50 jobs, and enabled the company to return to profitability.

  • In re Ski Mogul, Inc. – represented sporting goods retailer in liquidating Chapter 11 case.

  • In re Middle Tennessee Center for Urinary Continence and General Urology, P.C. – counsel to urology clinic in Chapter 11 case.

  • Represented more than 20 individuals in Chapter 11 cases addressing issues from guarantees of business debt to buying time to accomplish the orderly sale of assets.

  • In re Ozburn-Hessey Moving Company – served as counsel to leading North American Van Lines agent in Chapter 11 reorganization.

  • In re Mazda of Clarksville – represented Mazda dealership in Chapter 7 liquidation involving complicated title and lien issues.

  • In re OTG Nashville One, LLC – represented Nashville area Off the Grill restaurants in successful Chapter 11 reorganization.

  • In re Liberty Trust Mortgage, Inc. – served as counsel to mortgage company in Chapter 11 liquidation.

  • In re Cabinet enCounter Expo, LLC – represented cabinet and counter manufacturer and retailer in Chapter 11 case that resulted in going concern sale of all assets.

  • In re Information Packaging, Inc. – represented printing, binding and manufacturing company and five affiliates in their Chapter 11 cases. An involuntary Chapter 7 petition was filed against the company and Robert immediately converted it to Chapter 11 case. At the time of the filing, the company operated 6 plants in 5 states and employed more than 400 people. The company was able to continue operating for over a year while accomplishing an orderly liquidation of its assets.

  • In re Tennessee Valley Marble, Inc. – served as counsel to marble and limestone quarry operator in Chapter 11 liquidation that resolved complex litigation and achieved orderly and efficient winding up through use of liquidating trust.

  • In re Global Air Services, Inc. – served as counsel to charter air company with six airplanes in liquidating Chapter 11 case.

  • In re Moore Recording Corporation d/b/a Emerald Entertainment – represented largest Nashville recording studio group in its liquidating Chapter 11 case that resulted in the sale of substantially all assets as a going concern.
Unsecured Creditors Committee Counsel

  • In re Murray, Inc. – served as co-counsel to the Committee in lawn and garden manufacturer's liquidating Chapter 11 case involving more than $300 million of debt.

  • In re Nu-kote, Inc. – served as co-counsel to the Committee in the liquidating Chapter 11 case of this $400 million manufacturer of printer cartridges and related products.
Creditors and Purchasers of Assets
  • In re Physion, Inc. - served as counsel to petitioning creditors in involuntary bankruptcy case of medical information technology company.

  • Represented major utility provider in Pen Coal Chapter 11 cases on complex issues involving commodities contracts.

  • Represented purchaser of all assets in Chapter 11 case of coffin manufacturer.

  • Represented 12 preference defendants in Service Merchandise Chapter 11 cases.

  • Represented major regional bank in bankruptcy cases of business and 5 guarantors.

  • Represented nation's largest real estate investment trust in Service Merchandise bankruptcy.
Business Planning
  • Represented more than 100 start-up companies.

  • Served as general counsel for several companies, including a leading Nashville provider of computer hardware, software, and information technology solutions, a financial services company, and a general contractor.

  • Represented popular Nashville restaurant in formation of company and acquisition of commercial real estate.

  • Represented veterinarians in acquisition of veterinary practice and commercial real estate.

  • Represented numerous landlords and tenants in commercial lease and other real estate matters.
